These terms govern your use of the Traceway™ pre-launch website. Traceway is currently in private development. A full Terms of Service, Master Subscription Agreement, Acceptable Use Policy, and Service Level Agreement will be published before general availability and will govern commercial use of the product.
These Terms of Use ("Terms") are a binding agreement between you and Niaz Tech Solutions LLC ("Traceway", "we", "us") and apply when you visit traceway.com, related public Traceway pages, or otherwise interact with us through the pre-launch website (the "Website").
By accessing or using the Website, or by joining the waitlist, you agree to these Terms. If you do not agree, please do not use the Website.
These Terms do not grant any right of access to, or use of, the Traceway product itself. Commercial use of Traceway will be governed by a separate Master Subscription Agreement and accompanying policies, published before general availability.
The Website is provided for informational purposes only — to describe Traceway, accept waitlist applications, and let interested parties reach us.
You agree not to:
Joining the waitlist registers your interest in receiving updates about Traceway and an invitation to a demo when available. It does not:
The design-partner program is a limited cohort selected at our discretion based on fit. Indicating interest does not guarantee selection. Specific terms (commitments, access, pricing, IP) will be set out in a separate written agreement with each design partner.
The Website does not require an account. Where you submit information through a form or email, you confirm that the information you provide is accurate, that you are authorised to provide it (including on behalf of your employer), and that providing it does not breach any obligation you have to a third party.
Personal information you submit is processed in accordance with our Privacy Notice.
The Website and all content on it — including text, graphics, illustrations, layout, design, source code, structured data, and the Traceway™ visual identity — is owned by Niaz Tech Solutions LLC or its licensors and is protected by copyright, trademark, and other intellectual-property laws.
Traceway™ is a trademark of Niaz Tech Solutions LLC. A U.S. trademark application is pending with the United States Patent and Trademark Office (USPTO). Filings in other jurisdictions will follow.
No license, express or implied, is granted to you in any of our intellectual property except the limited, revocable right to view the Website for the purpose of evaluating Traceway.
You may:
You may not:
If you send us feedback, suggestions, ideas, or other input ("Feedback"), you grant Niaz Tech Solutions LLC a perpetual, worldwide, royalty-free, non-exclusive license — to the extent you have the right to grant such a license — to use, modify, and incorporate that Feedback into our products and operations, without obligation or attribution. Please do not send us Feedback that contains third-party intellectual property or confidential information.
Please do not send us confidential information through this Website. Confidentiality arrangements for design-partner discussions, security reviews, or other commercial conversations will be handled under a separate written agreement.
The Website may reference or link to third-party products, services, or content (for example, when describing how Traceway compares to other tools). These references are for informational purposes only. We do not control, endorse, or take responsibility for third-party material. Third-party names and trademarks remain the property of their respective owners.
The website is provided "as is" and "as available," without warranty of any kind, express or implied. To the maximum extent permitted by law, Niaz Tech Solutions LLC disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.
Statements on the Website about Traceway's future capabilities, timing, and roadmap are forward-looking and may change. Nothing on the Website is a commitment to ship any particular feature on any particular date.
To the maximum extent permitted by law, Niaz Tech Solutions LLC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the website — even if advised of the possibility of such damages.
Our total aggregate liability arising out of or related to the website will not exceed one hundred united states dollars (US$100). Some jurisdictions do not allow these limitations; in those jurisdictions, our liability is limited to the greatest extent permitted by law.
You agree to defend, indemnify, and hold harmless Niaz Tech Solutions LLC and its officers, directors, employees, and agents from any claim, liability, damage, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or your violation of any law or third-party right in connection with the Website.
We may suspend or terminate your access to the Website at any time, without notice, if we believe you have breached these Terms or for any other reason in our reasonable discretion. The provisions of these Terms that by their nature should survive termination (including sections 5, 6, 8, 9, 10, and 12) will survive.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Website will be resolved exclusively in the state or federal courts located in Delaware, and you and we consent to the jurisdiction of those courts.
Nothing in this section prevents either of us from seeking injunctive relief in any competent court to protect intellectual-property or confidentiality rights.
The governing-law and venue provisions may be replaced or supplemented by jurisdiction-specific terms in a separate Master Subscription Agreement once the Traceway product is generally available.
We may update these Terms from time to time as Traceway moves from private development to launch. The "Last updated" date at the top reflects the most recent change. Material changes will be reflected in a prominent notice on the Website and, where a change materially affects waitlist members' rights, communicated by email. Continued use of the Website after notice of a change indicates acceptance of the updated Terms.
These Terms, together with the Privacy Notice, are the entire agreement between you and Niaz Tech Solutions LLC regarding the Website. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms; we may assign them to an affiliate or in connection with a corporate transaction.
